Executive Compensation: Getting Your Executive Compensation Ready for 2015
With the home stretch of 2014 approaching, and the IRS having started its first 409A “compliance check” program, what should you do to prepare for next year? In this session, Mike Frank will discuss opportunities to identify and possibly “correct” potential problems now, ways to prepare your executive compensation programs for potential mergers and acquisitions, other year-end planning opportunities and things to keep in mind for 2015.

Mike Frank is a Partner in Morrison & Foerster’s Palo Alto office, where he heads the firm’s Compensation, Benefits & ERISA practice group. Mr. Frank focuses his practice in executive compensation and employee benefits, with particular expertise in the compensation and benefits aspects of transactions, including mergers and spin-offs. He received his undergraduate degree from Grinnell College, his masters degree from Stanford University and his law degree from the University of Michigan School of Law

Legal Update
Ed Bernard will provide an update on key legal developments affecting employee benefit plans, with a focus on recent Supreme Court and other important court cases, and IRS and Department of Labor guidance affecting tax-qualified plans.

Ed Bernard is Senior Counsel at the San Francisco law firm of Hanson Bridgett, where he counsels private, nonprofit and public employers regarding all aspects of qualified and nonqualified retirement plan and health and welfare plan design, implementation and compliance. He also designs and drafts nonqualified retirement plans, including top-hat supplemental executive retirement plans and section 457(f) plans. He received his undergraduate degree from Earlham College and his law degree from the University of the Pacific, McGeorge School of Law.

Healthcare: Managing Health Benefits Cost in the Post Health Care Reform Era
Matt Swinnerton of Precept will explain changes occurring in the health care system that will impact employer costs and strategies; emerging trends of how employers are purchasing health insurance for their employees; new strategies for engaging employees as consumers of health care; and improving health status and reducing health risk.

Matt Swinnerton is Senior Vice President at Precept, where he brings over 18 years of employee benefits industry expertise to its clients. For the past 13 years, he has been responsible for the overall management of Precept’s San Ramon office. Mr. Swinnerton is a Fellow in the International Society of Certified Employee Benefits Specialists (ISCEBS) and past president of the Northern California Chapter of ISCEBS. He is a graduate of the California Polytechnic State University School of Business in San Luis Obispo.
